Who's buying whom, though? The story says K-Mart is buying Sears, which I guess is technically correct. It sounds like the investment firm that's holding what's left of K-Mart after its bankruptcy is taking the cash it picked up, buying Sears, and folding the remains of K-Mart into Sears. Sears gets the name and keeps the corporate HQ.
